Vendor and Member Terms
This outlines The Wedding & Wine Expo Vendor and Membership Terms of Use and Conditions Agreement between The Wedding and Wine Expo, and you, the Vendor or Member.
Please read this fully and carefully, as it details your obligations and rights when using The Wedding and Wine Expo's services.
1. KEY DEFINITIONS

The Wedding and Wine Expo: Operates The Wedding and Wine Expo and The Wedding and Wine Expo Memberships.

Member: Any individual or entity that subscribes to The Wedding and Wine Expo's membership plans.

Vendor/Exhibitor: An individual or entity that offers products or services to brides through The Wedding and Wine Expo Show.

Membership Plans: There are three tiers of membership services with different benefits and costs.

2. SERVICES AND ELIGIBILITY

The Wedding and Wine Expo offers a community and marketplace for the wedding industry, allowing businesses and individuals (Vendors/Members/Users) to network, list vendor services, share information, and post specials/promotions.
Eligibility Requirements

Be a business entity or an individual.

Be at least 18 years of age or older.

Have the legal capacity to enter into a binding contract under applicable laws.
Verification Process
-
If you seek to list as a member and/or vendor, The Wedding and Wine Expo reserves the right to request additional documentation to verify your authenticity. This is to maintain the platform's integrity and ensure Trusted and Reliable Vendors.

By becoming a Vendor and/or Member, you confirm you meet all eligibility criteria and acknowledge this possible verification process.

If you do not meet the criteria or fail verification, The Wedding and Wine Expo will notify you by email (vendorsupport@weddingandwineexpo.com) with the reason and instructions on how to improve or update your information for re-verification.
3. DISPLAY AREA AND PARTICIPATION REQUIREMENTS

Each registered vendor (the "Exhibitor") shall be allocated one standard display space, which includes either a 60-inch round table or a 6-foot banquet table, and two chairs. A black table linen will be provided, but Exhibitors may utilize their own linen.

Exhibitors are permitted to decorate their designated space with materials, signage, and displays pertinent to the products or services being offered.

Strict Restriction: The affixing of any items, materials, or signage to the walls, ceilings, or any permanent structure of The Capitol Theatre venue is strictly prohibited. Violation of this restriction may result in immediate removal from the Expo and liability for any damages caused.

Registration Requirement: Whether an Exhibitor occupies a single space individually or shares a space with another entity, every participating vendor entity, and every shared entity, must complete the official registration process and agree to these Wedding and Wine Expo terms.

Enforcement: Any individual or entity found operating as a vendor without prior registration and agreement to these terms will be immediately asked to vacate the premises.

4. MARKETING, PROMOTION, AND DATA PROTECTION
Exhibitors are strongly encouraged to offer promotional "Show Specials" within their booth. These specials may include, but are not limited to, percentage discounts for services booked or appointments scheduled at the Expo, use of coupons, or free prize drawings. The Wedding and Wine Expo shall announce drawing winners throughout the day and will direct winners to the corresponding Exhibitor’s booth for prize claim.
By registering, the Exhibitor grants The Wedding and Wine Expo a non-exclusive, royalty-free license to use the Exhibitor’s company name, logo, and brand in all forms of advertising, display, and promotional materials related exclusively to the Wedding and Wine Expo.
The Exhibitor is authorized to promote their participation in the Expo through various external channels, including direct customer contact (mail, email, phone), print media, signage (including Expo-provided materials), television/radio, social media, and internet platforms.
Provision: Following the conclusion of the Expo, The Wedding and Wine Expo shall provide the Exhibitor with a lead list containing the contact information (name, email) of registered brides and grooms who attended the event.
Proprietary Use Restriction: This lead list is strictly for the Exhibitor’s internal business use only. The Exhibitor expressly agrees not to barter, loan, sell, or otherwise transfer this lead list to any third party. Violation of this restriction shall constitute a material breach of this agreement and may result in legal action.
5. LIMITATION OF LIABILITY AND INDEMNITY
Exhibitor/Vendor/Sponsor Liability
The Exhibitor shall be liable for and agrees to promptly pay for any and all damage to The Capitol Theatre venue building, its equipment, or any leased property incurred through the negligence, recklessness, or intentional misconduct of the Exhibitor, their employees, agents, contractors, or representatives.
No Event Insurance: The Exhibitor acknowledges and understands that The Wedding and Wine Expo does not maintain insurance coverage for the damage, destruction, theft, or loss of the Exhibitor’s property.
Assumption of Risk: The Wedding and Wine Expo assumes no responsibility or liability for any loss or damage to the Exhibitor’s property. The Exhibitor is solely responsible for insuring their property.
The Exhibitor agrees to protect, indemnify, defend, save, and hold harmless The Wedding and Wine Expo, its agents, vendors, sponsors, members, officers, directors, and employees ("Indemnified Parties") against all claims, liabilities, losses, damages, government charges, fines, and costs (including attorneys’ fees) that may arise from or be caused by the Exhibitor's participation in the Expo, excluding any liability caused by the sole negligence, recklessness, or intentional misconduct of the Indemnified Parties.
The Exhibitor further agrees to protect, indemnify, defend, save, and hold harmless The Capitol Theatre venue and the host city/county, including their divisions, employees, and agents, against all claims, losses, and damages to persons and property arising out of or caused by the Exhibitor’s negligence, recklessness, or intentional misconduct during the installation, removal, maintenance, occupancy, or use of the venue.
In the event that a court of competent jurisdiction finds any term of this Contract unenforceable, the Exhibitor expressly agrees that the maximum liability of The Wedding and Wine Expo arising out of any tort, contract, legal, or equitable claim or cause of action shall be strictly limited to the total fees paid by the Exhibitor to The Wedding and Wine Expo under this agreement.
Online Marketing and Data Liability
The Vendor, Sponsor and Member acknowledges that the Expo Event may use the materials and information provided by the Exhibitor in online marketing and promotions. The Wedding and Wine Expo shall not be liable for any claims, damages, or losses arising from:

The Exhibitor’s subsequent use of the lead list provided by the Expo Event

Any defects, inaccuracies, or infringement claims related to the Exhibitor’s logos, trademarks, images, or content provided to the Expo Event for promotional use.

Any disruption or lack of accessibility to the Expo Event’s website or online platforms where the Exhibitor is featured.

The Exhibitor further agrees that the indemnification obligations set forth to protecting The Wedding and Wine Expo against any and all claims arising from the online use and publication of proprietary materials.
4. SPONSOR, VENDOR AND MEMBERSHIP FEES
Vendor Payment Commitment

You agree to pay the Sponsor or Vendor Payment.

The Payment is non-refundable, except as explicitly stated in The Wedding and Wine Expo's refund policy (which is not detailed here, but referenced).
Member Payment Commitment

You agree to pay the membership fee for your chosen Membership Plan, as detailed on the website or invoice.

Each membership is a one-year commitment and will automatically renew annually.

Payment is processed automatically annually, using the payment method you provide during sign-up.

Membership fees are non-refundable, except as explicitly stated in The Wedding and Wine Expo's refund policy (which is not detailed here, but referenced).
Vendor and Member Information

You are responsible for ensuring all information you provide to The Wedding and Wine Expo (including registration details) is accurate, complete, and up-to-date.

You must inform The Wedding and Wine Expo in writing via email (vendorsupport@weddingandwineexpo.com) of any changes that need to be made to your account profile.

The Wedding and Wine Expo has up to 10 business days to update and change your account information on your profile.
5. CANCELLATION, TERMINATION, AND RENEWAL
Membership Automatic Renewal (This does not apply to vendors exhibiting)

Your membership will automatically renew on an annual basis.

The membership fee for the next year will be automatically charged to your payment method on file, unless you cancel your membership according to the policy below.
Membership Minimum Term and Cancellation (This does not apply to vendors exhibiting)

By agreeing to this document, you commit to a minimum term of one year of membership from the date of enrollment.

You can terminate this Agreement at any time after completing the initial one-year commitment by providing written notice to The Wedding and Wine Expo.

Cancellation/Termination requests must be submitted in writing to vendorsupport@weddingandwineexpo.com.

If you cancel, you will not be entitled to a refund for any unused portion of the current one-year membership term.

If you cancel prior to the expiration of the current membership term, you will not be charged for the subsequent year.
Termination by The Wedding and Wine Expo

The Wedding and Wine Expo reserves the absolute right to refuse or terminate the participation of any Vendor, before or during the Expo, or Member if, in the Event Management's sole discretion, the Exhibitor's conduct, display, or materials are deemed inappropriate, unprofessional, or detrimental to the reputation, character, or integrity of The Wedding and Wine Expo.

Grounds for such termination include, but are not limited to, actions or omissions that violate these terms, poor reputation, misrepresentation, or any activities considered disruptive, offensive, or otherwise inappropriate for a professional event environment.
Effect of Termination

If this Agreement is terminated for any reason, you agree that you will receive no refund or exchange for any unused time, subscription fees, content, or data associated with your account, unless specific terms provide otherwise.

Obligations and liabilities incurred before the termination date will survive the termination of this Agreement.
6. FORCE MAJEUR AND CANCELLATION POLICY

If the Exhibitor cancels participation for any reason, all fees paid are non-refundable. The Wedding and Wine Expo reserves the right to re-sell the booth space without obligation to the canceling Exhibitor.

The performance of this agreement is subject to acts of God, war, government regulation, disaster, public health emergencies (including pandemics and epidemics), strikes, civil disorder, acts of terrorism, curtailment of transportation, or any other emergencies or unavoidable occurrences (collectively, "Force Majeure Events") that make it impossible, illegal, or commercially impracticable for The Wedding and Wine Expo to hold the Expo.

In the event The Wedding and Wine Expo is cancelled or postponed due to a Force Majeure Event or any other circumstances outside the control of Wedding and Wine Expo Event Management:

Postponement: If the Expo is postponed to a later date, the Exhibitor's registration and fees will be automatically transferred and applied to the rescheduled event date. No refunds will be issued.

The Exhibitor expressly agrees that the Expo Event shall have no liability for any loss, damage, or expense (including but not limited to travel, lost profits, or consequential damages) incurred by the Exhibitor due to the cancellation, postponement, or rescheduling of The Wedding and Wine Expo, regardless of the cause.
7. DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Tennessee, without regard to conflict of laws principles.

For any non-arbitrable disputes or claims, you agree to commence action only in the state and federal courts of Tennessee, and you consent to the venue and jurisdiction of those courts.
Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association (AAA).
8. MISCELLANEOUS ABD ACCEPTANCE
By registering and submitting materials, the Vendor, Sponsor or Member grants The Wedding and Wine Expo a non-exclusive, license to use, reproduce, publish, display, and distribute the Exhibitor’s company name, logo, trademarks, product images, display photographs, and any textual or descriptive information submitted to The Wedding and Wine Expo, in whole or in part, across all media now known or hereafter devised, for the sole purpose of advertising, promoting, and marketing the Wedding and Wine Expo.

Acceptance and Modifications

By signing up for a Membership Plan or using The Wedding and Wine Expo's services, you acknowledge that you have read, understood, and agreed to all the terms and conditions in this Agreement.

The Wedding and Wine Expo reserves the right, in its sole discretion, to change, modify, add, or remove portions of these Terms at any time.

It is your responsibility to check the Terms periodically. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.
